Terms of Service

The Service is operated by UGHD Studios, Inc., a corporation incorporated in the State of Delaware, United States. MakeLyricVideo.com and LyricVideo.TV are brands and products of UGHD Studios, Inc.

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are 18 or older, that you have the legal capacity to enter into these Terms, and that your use of the Service complies with all laws that apply to you. The Service is not directed to children, and we do not knowingly collect information from anyone under 18.

The Service lets you create a lyric video from an audio track. In general, you upload an audio file, our system automatically transcribes and time-aligns the lyrics using a third-party speech-to-text provider, you review and edit the lyrics and timing and choose visual options, and you then generate and export a video.

We may add, change, suspend, or remove features of the Service at any time. Generation times, output quality, available styles, and other characteristics of the Service may vary and are not guaranteed.

“Your Content” means the audio files, lyrics, text, names, and any other material you upload to or create with the Service, and the finished videos you generate from that material. As between you and us, you keep all ownership you already have in Your Content. We do not claim ownership of your music or your lyrics.

You are solely responsible for Your Content and for making sure you have the right to use it. By uploading or generating anything on the Service, you represent and warrant that:

We do not pre-screen Your Content and we are not responsible for it. You use the Service, and publish or distribute anything you create, at your own risk. We are not responsible if a platform removes your video, issues a copyright claim, demonetizes your content, or suspends or bans your account.

So that we can operate the Service for you, you grant UGHD Studios, Inc. a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, transcribe, transcode, process, and display Your Content solely as needed to provide the Service to you — for example, to generate, preview, and deliver your video and to provide support.

We use third-party service providers to run the Service — including cloud infrastructure (Amazon Web Services and RunPod) and speech-to-text transcription (ElevenLabs). Your Content may be processed by these providers strictly to deliver the Service. We do not sell Your Content or license it to third parties for their own purposes.

When you export a video, we grant you a license to the lyric-video production we generate for you — that is, the visual, animation, and design elements we add. The scope of that license depends on the option you choose and is summarized below and on our Licensing page, which forms part of these Terms. To the extent any rights in the generated output are ours to grant, we grant them to you on these terms; some purely automated output may not be protected by copyright at all.

Important — the license does not clear the music. The license we grant covers only the production elements we create. It does not grant you any rights in the song, sound recording, composition, or lyrics used in your video. You are responsible for holding all rights and licenses to that music. A paid HD Video upgrade does not authorize you to use music you do not own or have permission to use.

We may remove content and suspend or terminate access for any violation of these Terms, as described in Section 13.

The Service uses automated and AI-based tools, including third-party speech-to-text, to transcribe lyrics, align timing, and generate video. These tools are not perfect. Transcriptions and timings may contain errors, and generated output may vary in quality. The output is provided to you “as is,” and you are responsible for reviewing, correcting, and approving your lyrics, timing, and video before you download, publish, or distribute it. We are not responsible for errors in automatically generated lyrics, timing, or visuals.

Because the HD Video upgrade delivers a digital file that is generated and made available to you immediately, all sales are final and payments are generally non-refundable once your video has been delivered.

We want you to get a working file. If your paid render fails, is corrupted, or is materially defective and we are unable to fix or re-deliver it within a reasonable time, contact us at hello@makelyricvideo.com and we will provide a re-delivery or a refund at our discretion. Nothing in these Terms limits any non-waivable rights you have under the consumer law that applies to you, including rights relating to faulty digital content.

Consumers in the EU / UK: for digital content supplied immediately, you have a statutory right to cancel within 14 days. By purchasing the HD Video upgrade and starting the download / delivery, you expressly request immediate performance and acknowledge that you lose that 14-day right of withdrawal once delivery has begun. This does not affect your rights if the content is faulty.

The Service itself — including our software, templates, animations, visual styles, design, text, logos, and the MakeLyricVideo.com and LyricVideo.TV names and brands — is owned by UGHD Studios, Inc. or its licensors and is protected by intellectual property laws. Except for the licenses we expressly grant in these Terms, we do not grant you any right in the Service, and you may not copy, modify, distribute, or create derivative works from it.

We respect the intellectual property rights of others and we respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA). If you believe content available through the Service infringes a copyright you own or control, please send a written notice to our designated copyright agent at hello@makelyricvideo.com that includes:

We will remove or disable access to material we determine is infringing, and we may forward notices to the person who supplied the material. If you believe your material was removed in error, you may send a counter-notice with the information required by the DMCA. We terminate the access of users who are repeat infringers in appropriate circumstances.

You may stop using the Service at any time. We may suspend, restrict, or terminate your access to the Service, and remove any content, at any time and without notice if we believe you have violated these Terms, if required to protect the Service, other users, or third parties, or to comply with the law. Sections of these Terms that by their nature should survive termination — including Sections 4, 6, and 10 through 20 — will survive.

The Service relies on and may link to third-party services, including Stripe (payments), ElevenLabs (transcription), Amazon Web Services and RunPod (infrastructure), analytics providers, and form and scheduling tools. We do not control these services and are not responsible for their content, availability, or practices. Your use of them may be subject to their own terms and privacy policies.

THE SERVICE AND ALL CONTENT AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY OUTPUT WILL MEET YOUR EXPECTATIONS OR BE FREE OF THIRD-PARTY CLAIMS. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, UGHD STUDIOS, INC. AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and nothing in these Terms limits liability that cannot be limited by law.

You agree to defend, indemnify, and hold harmless UGHD Studios, Inc. and its officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any law or of any third party’s rights, including any claim that your music, lyrics, or video infringes someone’s intellectual property or other rights.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.

Let’s try to resolve it first. If you have a dispute with us, please contact us at hello@makelyricvideo.com first so we can try to resolve it informally. Most concerns can be handled this way. If we cannot resolve a dispute within 30 days, either of us may pursue the claim in court.

Courts. Except for claims that may be brought in small claims court, you and we agree to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction and venue there.

Class action waiver. To the extent permitted by law, you and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative action.

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page. Changes take effect when posted. Your continued use of the Service after changes are posted means you accept the updated Terms, so please review this page periodically.
